Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 25, 2021, Emmett Cunningham, M.D., Ph.D. resigned from the Board of Directors (the Board) of Annexon, Inc. (the Company). Dr. Cunninghams resignation was due to his professional responsibilities to Blackstone Life Sciences and not a result of any disagreement with the Company or any matter relating to the Companys operations, policies or practices. In addition, in connection with Dr. Cunninghams resignation, director William H. Carson, M.D. was appointed to the Compensation Committee of the Board.
